UScellular Renamed Array Digital After T-Mobile Deal on August 1
Big changes are ahead for UScellular. Starting this Friday, August 1st, T-Mobile’s $2.4 billion acquisition deal will officially close. That means 4 million UScellular customers will shift over to T-Mobile aka Team Magenta. Along with those customers, T-Mobile will also take over the company’s retail stores and around 30% of its valuable wireless spectrum across multiple frequency bands, including 600 MHz, 700 MHz A Block, PCS, AWS, 2.5 GHz, and 24 GHz.
Thanks to this deal, T-Mobile’s coverage especially in rural areas is expected to get stronger. But what about UScellular itself?
Well, it’s not disappearing. It’s just getting a makeover.
New Name, New Direction
Once the transaction is complete, UScellular will be rebranded as Array Digital Infrastructure, Inc. The company will also shift its focus to managing the 4,400 wireless towers it owns, along with the spectrum it retains after the handover to T-Mobile.
There’s also a leadership shake-up. Douglas W. Chambers, who currently serves as UScellular’s Executive VP, CFO, and Treasurer, will step in as the interim President and CEO of Array.
Chambers said,
“I am honored to assume the role of interim CEO of Array at this pivotal time for the company, We have a great opportunity ahead of us and I look forward to working with the Board and our management team to continue to strengthen our tower business, seek opportunities to monetize our retained spectrum, and work towards closing the announced spectrum transactions.”
A New Identity on Wall Street
Alongside the name change, UScellular will also update its New York Stock Exchange ticker symbol. After using USM since 1988, the new stock symbol will be AD, reflecting the company’s fresh identity. A new logo and website will follow as part of the transition. However, the headquarters will remain in Chicago.
LeRoy T. Carlson, Jr Said,
“As we progress through the divestiture of the wireless operations, we are pleased to take these next steps in announcing leadership as well as the new legal name, Array Digital Infrastructure, Inc., of the post-closing company, Doug brings decades of industry experience and a robust understanding of the company’s strategy and overall operations, making him well-suited to serve as interim President and CEO. The Board is confident that Doug is the right leader to oversee the successful transition to Array while we consider potential choices for a permanent CEO.”
To top it off, Array’s board is expected to approve a special dividend payout ranging from $22.50 to $23.75 per Common Share and Series A Common Share following the close of the deal.
What This Means for UScellular Customers
After 4 million UScellular customers were moved to T-Mobile, many are concerned about what changes they will have to face. The good news is that T-Mobile has a broader and superior network as compared to UScellular, especially in rural areas, which should translate to better coverage and faster speed for these ex-UScellular users. However, customers may see changes in the plan structure and pricing, as well as customer service processes, as the two companies work to merge operations. T-Mobile has an excellent record with its mergers, ensuring the seamless integration of new customers. Anyways, users should keep an eye on official announcements concerning any changes.
What Investors Should Know
And with the rebranding, Array intends to pay a special dividend amounting to around $22.50- $23.75 per share. The main reason for putting such an initiative is an increase in shareholder confidence about the financial strength of the company, and to reward shareholders during the transition. All eyes will be on investors as they track how Array leverages its infrastructure assets and spectrum holdings for long-term value delivery.
What’s Next?
The deal officially closes on August 1st, and the new company name and ticker symbol (AD) will soon appear on the NYSE. Customers should expect official communications regarding any changes to their plans or services. Meanwhile, Array’s board and leadership team will focus on strategic initiatives to strengthen their business and explore new opportunities in the telecom infrastructure space.
